1. Agreement and parties
These Business Terms govern an organization's use of ConvoSparr, operated by Tarsonix Technologies (OPC) Private Limited. They are accepted by the person who sets the team up, who confirms they are authorised to bind the Organization.
They replace our individual Terms of Service for everything to do with the team account. A person's separate personal account, if they have one, stays governed by those Terms and is untouched.
2. Definitions
- Organization: the company that buys the team plan.
- Member: a person the Organization invites into its team.
- Seat: one Member's place on the plan.
- Order Details: the price per seat, the seat minimum, the billing period and the one-time setup fee, exactly as presented on screen immediately before a payment method is captured, and accepted there.
3. Seats and Order Details
Commercial terms are the Order Details. They are shown in full before any payment method is captured, and again before the Organization converts from trial to paid. Nothing is charged on terms the Organization has not seen.
Seats are named and reclaimable. Adding seats mid-period is charged pro rata and takes effect immediately; reducing seats takes effect at the next renewal. Seats cannot drop below the seat minimum, nor below the number of active Members.
4. Trial and conversion
The team trial requires a payment method up front and charges nothing during the trial. Conversion is explicit. The Organization chooses to convert, with the Order Details on screen at that moment. We never convert a trial automatically and never charge silently.
If the trial ends with no decision, the Organization is suspended rather than charged. Its data is kept, and an owner can restart the subscription at any time.
5. Setup fee
A one-time setup fee applies, in the amount shown in the Order Details. It is charged when the Organization converts to a paid plan, never at trial start. It covers guided setup: loading the Organization's scenarios and running a kickoff with its team. The setup fee is non-refundable once that work has begun.
6. Administration and data ownership
The Organization designates an owner and may designate admins and managers. Those roles can invite and remove Members, change roles, buy seats and credits, and review practice data within their scope.
The Organization owns its Members' practice data: sessions, transcripts, scores and coaching notes created on the team account. That data stays with the Organization when a Member leaves. Members cannot delete their own sessions or their own account on a team plan; erasure runs through us at privacy@convosparr.com, which is also how Members exercise their statutory rights.
7. The Organization's monitoring obligation
Reviewing a Member's practice sessions is workplace monitoring, and the Organization is the employer. The Organization is responsible for giving its Members whatever notice, and obtaining whatever consent, the law of their jurisdiction requires.
We present an in-app monitoring notice to each Member before they practise, and record their acknowledgment with its version and timestamp. That is a facility we provide to help; it does not transfer the obligation to us, and it is not a substitute for the Organization's own employment-law compliance.
8. Acceptable use
The Organization is responsible for its Members' use. The Service may not be used to harass or deceive, to attempt to extract our prompts, models or other customers' data, to resell access, or to break any applicable law. We may suspend an account that does, and we will say why.
9. Data protection
Our Data Processing Addendum is incorporated into these Terms. Accepting these Terms accepts it. It records that the Organization is the controller and we are the processor, and it lists our subprocessors.
10. Term, termination and retention
The subscription renews each billing period until cancelled. Cancelling stops future renewals; it does not refund the current period.
After cancellation the Organization has 90 days to request an export of its data. After that window the data is permanently deleted. We may suspend an account for non-payment or for a payment dispute, and we will always leave a route back.
11. Changes to these Terms
These Terms carry a version number. If we change them materially we will ask the Organization's owner to accept the new version, and we record who accepted which version and when. Continuing to use the Service after a non-material change means the updated Terms apply.
12. Governing law
These Terms are governed by the laws of India, and the courts of Chennai, Tamil Nadu have exclusive jurisdiction, matching our individual Terms of Service.
